Avaya Switzerland GmbH seeks a Corporate Counsel for the EMEA region to handle commercial contracting, corporate governance, and litigation support within the International Legal Team.
This position functions as a key member of the International Legal Team, reporting directly to the Associate General Counsel for EMEA and APAC. The role is designed to support business operations across the EMEA territory and other international markets, offering the successful candidate exposure to a diverse spectrum of legal disciplines.
Responsibilities
- Manage the end-to-end lifecycle of commercial agreements, including drafting, reviewing, negotiating, and advising on customer, partner, cloud, software, professional services, procurement contracts, and NDAs.
- Collaborate with sales and business units during contract negotiations to conduct risk assessments and provide practical guidance on contractual rights, obligations, and dispute avoidance.
- Enhance internal legal processes by developing and refining contract templates and workflow efficiencies.
- Oversee corporate governance and entity management tasks across multiple jurisdictions, including maintaining corporate records and handling board and shareholder matters.
- Execute corporate projects such as legal entity restructurings and other governance initiatives.
- Liaise with external counsel and corporate service providers to coordinate legal strategy, case management, and litigation support.
- Assist in managing disputes, claims, and litigation, including supporting internal investigations, preserving evidence, and facilitating dispute resolution.
- Advise business teams on legal risks and develop mitigation strategies.
- Provide support on regulatory, compliance, data privacy, and corporate legal issues.
- Conduct legal research on new laws and regulations impacting the business.
- Support the implementation of corporate policies and compliance programs.
- Participate in strategic business initiatives and cross-functional projects.
- Deliver legal training and guidance to internal stakeholders.
- Drive legal process improvements and operational excellence initiatives.
Requirements
- Hold a law degree and possess the qualification to practice law in a relevant jurisdiction.
- Have approximately 3-6 years of post-qualification experience gained in a law firm and/or a multinational corporate legal department.
- Demonstrate excellent command of written and spoken English.
Nice to have
- Prior experience supporting international or cross-border legal matters.
- Background in the technology, telecommunications, software, or SaaS industries.
- Exposure to corporate governance and legal entity management.
- Experience managing external counsel and litigation matters.
- Proficiency in additional European or Middle Eastern languages.
