Solas Capital AG seeks a Senior Compliance & Legal Manager for a hybrid role in Zürich. This position involves leading compliance strategy for a sustainable finance investment advisor, reporting to the MD and COO.
This permanent role operates within a lean, international team and reports directly to the Managing Director and the group’s COO. Rather than working within an established department, the successful candidate will define the compliance agenda and own all compliance matters in day-to-day operations independently. The position offers significant autonomy and real ownership of the regulatory framework.
Responsibilities
- Serve as the registered Compliance Officer for the FINMA-regulated Swiss entity (or BaFin if based in Germany).
- Act as the primary liaison for BaFin, FINMA, and other regulatory authorities, handling all regulatory reporting.
- Maintain and evolve the internal compliance framework, including policies, manuals, and procedures.
- Conduct KYC and AML checks for investors and partners in line with German and Swiss laws.
- Plan and deliver internal compliance training for the team.
- Coordinate external regulatory and statutory audits, including documentation preparation and finding resolution.
- Ensure cross-border regulatory coherence between the Swiss and German entities' compliance functions.
- Prepare and document board and supervisory board meetings.
- Create and update fund documentation such as PPMs, subscription agreements, and constitutional documents.
- Support waiver processes and amendments for existing fund documents.
- Assist with the legal structuring of new fund vehicles alongside external counsel.
Requirements
- 5–8 years of hands-on compliance experience at BaFin- or FINMA-regulated institutions.
- Proven track record of owning compliance processes end-to-end with significant autonomy.
- Solid knowledge of German regulatory requirements (MiFID II, AML/KYC, reporting) and/or Swiss requirements (FINIG/FINMAG, AML/KYC, reporting).
- Eligibility and readiness to take on personal regulatory responsibility as a registered Compliance Officer.
- Fluency in German and English, both written and spoken.
- Structured, self-directed working style suitable for a lean international team.
- German/Swiss work permit or Swiss/EU citizenship.
Nice to have
- Legal qualification (Volljurist or equivalent) or background in capital markets, investment fund, or regulatory law.
- Experience drafting or reviewing fund documentation and managing waiver and amendment processes.
- Knowledge of EU frameworks: AIFMD, SFDR, ELTIF Regulation.
- Familiarity with fund vehicles (e.g., Luxembourg, Ireland) or cross-border EU fund distribution.
- Exposure to sustainable finance regulation (SFDR Article 8/9, EU Taxonomy).
