Alpiq AG seeks a Senior M&A Manager in Olten to lead strategic transactions, financial modeling, and deal execution across the Group.

This position is responsible for driving the structuring and execution of strategic transactions throughout the organization. The role aims to deliver value through acquisitions, partnerships, and divestments by leveraging strong financial analysis and negotiation skills. It plays a key part in shaping the financial strategy and resilience of the company.

Responsibilities

  • Identify and prioritize acquisition, partnership, and divestment opportunities that align with strategic goals.
  • Lead the end-to-end execution of mid-sized transactions and contribute significantly to complex strategic deals.
  • Coordinate due diligence processes, including financial, tax, legal, technical, and commercial aspects, while managing advisors and internal stakeholders.
  • Develop financial models, perform valuations, conduct risk analysis, and create scenario plans.
  • Prepare decision documents for approval by the Steering Committee, Executive Board, and Board of Directors.
  • Maintain disciplined stage-gate governance and documentation standards.
  • Build and maintain robust valuation models using DCF, multiples, sensitivities, and risk-adjusted returns.
  • Ensure consistency with Group valuation principles and capital allocation logic.
  • Perform structuring analyses, including equity vs. debt, joint venture models, earn-outs, and minority protections.
  • Support impairment testing and post-investment performance reviews as needed.
  • Assist in the negotiation of SPAs, SHAs, and financing terms from a financial perspective.
  • Design economically sound transaction structures aligned with risk appetite and capital efficiency.
  • Collaborate with Tax on structuring concepts and feasibility.
  • Collaborate with Treasury on funding concepts and financing feasibility.
  • Ensure transactions are executable, financeable, and governance-compliant.
  • Define financial KPIs and value-creation logic at signing.
  • Track deal performance against business case assumptions.
  • Support integration steering from a financial control perspective.
  • Ensure learnings are institutionalized to strengthen future transaction discipline.

Requirements

  • Experienced M&A leader with deep expertise in M&A processes and valuation methodologies.
  • Combine analytical strength, pragmatic execution and the ability to influence at Executive Board and Board levels.
  • Thrive in transformation environments and can build modern, high-performing corporate finance capabilities.
  • Strong leadership and cross-functional influence.
  • Excellent valuation and financial modelling skills (WACC, DCF, scenarios, structuring).
  • 5 to 8 years of proven M&A process governance experience across deal cycles.
  • Strong negotiation skills with advisors, banks and counterparts.
  • Solid understanding of financial regulations, intercompany funding, guarantees and risk governance.
  • Hands-on, resilient, analytical and execution-driven mindset.

Nice to have

  • CFA, CAIA, EMBA, MBA or similar credentials highly valuable.
  • Additional languages and project management capabilities are beneficial.
