Sulzer seeks a Senior Legal Counsel in Winterthur to advise senior leadership on M&A, commercial contracts, and corporate governance within its global Group Legal Team.

Reporting directly to the Head Group Legal, this position serves as a key legal advisor to executive leadership and major corporate functions. The role offers high visibility within a publicly listed industrial group, requiring close collaboration with internal stakeholders and external partners to manage complex legal matters.

Responsibilities

  • Manage the legal aspects of domestic and international mergers, acquisitions, divestitures, and joint ventures, coordinating with internal teams and outside counsel.
  • Draft, analyze, and negotiate complex commercial contracts, including technology agreements, sales terms, and supply chain arrangements.
  • Provide legal guidance on financing structures such as bond issuances and credit facilities, supporting the Treasury department.
  • Direct litigation, arbitration, and dispute resolution efforts globally, including the oversight of external legal representatives.
  • Assist in organizing Annual General Meetings and review the Company’s Annual and Non-Financial Reports for legal compliance.
  • Support the Corporate Secretary and Head of Group Legal with Board of Directors, committee, and Executive Committee matters.

Requirements

  • Hold a Master of Law degree and be admitted to the Swiss Bar.
  • Possess at least five years of post-qualification experience, preferably in a top-tier law firm or the legal department of an international industrial firm.
  • Have proven expertise in M&A and Swiss corporate law, with additional knowledge of antitrust, sanctions, capital markets, and stock exchange rules.
  • Demonstrate a business-focused approach, balancing legal risks with commercial goals through pragmatic judgment.
  • Show strong project management abilities and confidence in interacting with senior executives, board members, and external partners.
  • Be digitally proficient with a keen interest in technology, AI tools, and modern working methods.
